The Corporate & Securities Counsel must be the member of at least one state bar and should be a bright, energetic, detail-oriented, commercial-minded, client-centric transactional attorney with 5-7 years of general corporate, securities, M&A and other transactional experience. A suitable candidate will have relevant experience and training working with a private law firm. Prior in-house experience is preferred, but not required.
The Corporate & Securities Counsel will help to manage the securities reporting obligations of the company (’33 Act and ’34 Act). This position will be responsible for ensuring compliance with securities laws, rules and regulations, including supporting the preparation and filing of Forms 8-K, 10-Q and 10-K, registration statements, Section 16 filings, annual proxy statements, and all related filings. In addition, this position will assist the Legal team with maintaining governance policies and practices, including those related to insider trading.
This position will also support the Legal team in M&A and financing activities. This work includes drafting, negotiating and reviewing asset and stock purchase agreements, joint venture and partnership agreements, and other strategic agreements, coordinating and overseeing due diligence activities and working closely with Datto’s Corporate Development team.
This position will report to the Deputy General Counsel. The position is based at the company’s corporate headquarters in Norwalk, CT or office in Boston, MA. The role will support multiple business units located in the United States and in our global operations in multiple time zones. Some travel may be required.
